Acceptable Use Policy

This Acceptable Use Policy (the "Policy") governs your access to and use of the Nalepa Labs Roth Conversion Calculator (the "Software" or "the Calculator") and the website at https://nalepalabs-tools.com (the "Site"), each provided by Nalepa Labs LLC ("Nalepa Labs", "we", "us", or "our"). By purchasing, downloading, installing, or using the Software, or by using the Site, you ("you" or "Licensee") agree to this Policy. This Policy supplements, and is incorporated by reference into, the End-User License Agreement (EULA), the Terms of Service, and the other terms under which the Software is licensed to you. If you do not agree to this Policy, do not use the Software or the Site.
The Software is licensed, not sold, to you for your use as a professional or business user. You represent that you are at least 18 years of age and are using the Software in connection with your trade, business, or profession.
1. Intended Use
The Software is a Roth conversion planning tool delivered as a single, self-contained file that runs entirely within your web browser, offline, on a device you control. It is intended solely for use by licensed and credentialed professionals and their authorized staff, including:
- Enrolled Agents (EAs), Certified Public Accountants (CPAs), and tax preparers performing tax planning and advisory work;
- Financial advisors, investment advisors, and wealth-management professionals; and
- Other qualified professionals engaged in legitimate Roth-conversion planning.
You may use the Software to perform Roth-conversion planning and analysis for yourself and for the clients you serve in the ordinary course of your practice, including by importing a client's prior-year IRS Form 1040 to assist with that planning, provided you have the appropriate authorization to use that information for that purpose.
The Software is a planning and illustration tool only. The full statements regarding the nature of the Software, the absence of professional advice, warranty disclaimers, and limitations of liability are set out in the End-User License Agreement (EULA) and the Disclaimer and are incorporated here by reference. As described more fully in those documents, outputs generated by the Software are estimates and illustrations based on the inputs and assumptions you provide and must be independently reviewed by a qualified professional before being relied upon or presented to any client.
2. Prohibited Activities
You shall not, and shall not permit any third party to:
2.1 Unlawful or fraudulent use
- Use the Software or the Site in violation of any applicable law, rule, or regulation;
- Use the Software or the Site to commit, facilitate, or further fraud, embezzlement, tax evasion, or any financial or other crime; or
- Use any information processed in the Software, including any client tax information, without proper authorization from the person to whom it relates or who controls it.
2.2 Unauthorized access and interference
- Access, or attempt to access, any data, file, device, or system without authorization;
- Introduce, transmit, or distribute any malware, virus, worm, or other malicious or harmful code in connection with the Software or the Site; or
- Interfere with, disrupt, degrade, or attempt to circumvent the integrity, performance, or security of the Software or the Site.
2.3 Reverse engineering and competing products
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive, extract, or access the source code, underlying ideas, algorithms, or structure of the Software, except to the limited extent this restriction is prohibited by applicable law;
- Modify, adapt, translate, or create derivative works of the Software except as expressly permitted by your license; or
- Use the Software, or any portion of it, to design, develop, train, or build a product or service that competes with the Software.
2.4 Redistribution and license circumvention
- Sell, resell, sublicense, lease, rent, lend, distribute, publish, share, or otherwise make the Software file available to any third party, whether for charge or free of charge, except as expressly permitted by your license;
- Circumvent, disable, or interfere with any licensing, acceptance, or license-acceptance / assent-recording mechanism in the Software, including the recording of your acceptance of the license terms; or
- Permit the Software to be used by, or for the benefit of, any person or organization other than you and your authorized staff under a single valid license.
2.5 White-label and copyright protections
- Remove, obscure, alter, or tamper with the Nalepa Labs software copyright notice or any other proprietary notice that appears in the Software or in any report it generates;
- Misrepresent the source, ownership, or authorship of the Software; or
- Use the white-label and branding features of the Software in any way that misrepresents the origin of the Software or strips, defeats, or circumvents the retained Nalepa Labs copyright or other proprietary protections.
2.6 Misrepresentation of outputs
- Represent or hold out any estimate, illustration, or report generated by the Software as professional tax, legal, financial, accounting, or investment advice; or
- Present any output of the Software to a client or third party without first independently verifying its accuracy and appropriateness as a qualified professional.
3. How the Software Handles Data
The Software is designed to operate offline and to keep client information on your own device. When you import a client's prior-year IRS Form 1040, the Software reads and processes that document entirely within your browser. The document and its contents are not uploaded, transmitted, or sent to Nalepa Labs or to any server, and no taxpayer information ever reaches Nalepa Labs through your use of the Software. The Software extracts only money-pattern figures from the 1040 and does not capture Social Security or Employer Identification Numbers, and it makes no network calls in the course of its operation. The only information the Software stores locally on your device is the record of your acceptance of the license terms, which is also stamped into the footer of each report the Software generates.
You remain solely responsible for handling any client information you input into or process with the Software in accordance with all applicable laws, regulations, and professional and ethical obligations, including those governing the confidentiality and security of taxpayer information, and for safeguarding the device on which you run the Software.
This Section 3 describes the offline Software only. The Site is a separate, hosted website and may use cookies, a cookie-consent banner, and similar technologies, and may collect contact information (such as an email address) that you choose to provide, as described in the Site's Privacy Policy and Cookie Policy.
4. Enforcement
Your license to use the Software is conditioned on your compliance with this Policy. We may investigate any suspected violation of this Policy. Depending on the nature and severity of a violation, we may, without limiting any other right or remedy available to us at law, in equity, or under your license, issue a warning, require you to cease the offending conduct, suspend or terminate your license to use the Software, or pursue any other available remedy. Any termination of your license takes effect immediately upon our notice, after which you must cease all use of the Software and destroy all copies in your possession or control. Refunds, if any, are governed solely by the Refund Policy.
We may report suspected criminal activity to, and cooperate with, law enforcement and other competent authorities.
Our failure to enforce any provision of this Policy is not a waiver of our right to do so later. Nothing in this Policy limits, waives, or excludes any right or remedy that cannot be limited, waived, or excluded under applicable law.

6. General Provisions
Severability. If any provision of this Policy is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible or, if it cannot be so enforced, will be severed from this Policy, and the remaining provisions will continue in full force and effect.
Entire Agreement. This Policy, together with the End-User License Agreement (EULA), the Terms of Service, the Disclaimer, the Privacy Policy, the Cookie Policy, and the Refund Policy, constitutes the entire agreement between you and Nalepa Labs regarding acceptable use of the Software and the Site and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral, on that subject. This Policy is incorporated by reference into the EULA.
No Waiver. No failure or delay by Nalepa Labs in exercising any right under this Policy, and no single or partial exercise of any such right, operates as a waiver of that right or of any other right. Any waiver is effective only if in writing and signed by an authorized representative of Nalepa Labs, and applies only to the specific instance for which it is given.
Assignment. You may not assign, transfer, or delegate this Policy or any of your rights or obligations under it, in whole or in part, whether by operation of law or otherwise, without the prior written consent of Nalepa Labs, and any attempted assignment in violation of this provision is void. Nalepa Labs may freely assign or transfer this Policy, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. This Policy binds and inures to the benefit of the parties and their permitted successors and assigns.
Changes; Amendment. We may update or amend this Policy from time to time, for example to reflect changes in our practices, the Software, or applicable law. The version in effect is identified by the "Last updated" date at the top of this Policy, and any update is reflected by a change to that date. Your continued use of the Software or the Site after an updated Policy takes effect constitutes your acceptance of the updated Policy. If you do not agree to an updated Policy, you must stop using the Software and the Site.
7. Governing Law
This Policy is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to this Policy or your use of the Software or the Site will be brought exclusively in the state courts located in Palm Beach County, Florida, and the United States District Court for the Southern District of Florida, and you consent to the personal jurisdiction and venue of those courts.
