Privacy Policy — Nalepa Labs Roth Conversion Calculator

This Privacy Policy explains how Nalepa Labs LLC ("Nalepa Labs," "we," "us," or "our") handles personal information in connection with (1) the Roth Conversion Calculator software product (the "Software" or the "Calculator") and (2) our marketing website located at https://nalepalabs-tools.com (the "Site"). These are two distinct things, and they are treated very differently under this Policy. The most important point to understand is this:

The Software runs entirely in your web browser, fully offline. It never uploads, transmits, or sends to us the IRS Form 1040 PDFs or any other information you process with it. Nalepa Labs operates no server, account system, or cloud storage for the Software, and we therefore receive no taxpayer data from your use of the Calculator.

The Site, by contrast, is a conventional static marketing website that may collect limited personal information when you voluntarily choose to provide it. Throughout this Policy we keep the distinction between the Software and the Site explicit, because the privacy implications of each are fundamentally different.

1. Scope of This Policy

1.1. This Policy applies to the Software and to the Site as described above. It does not apply to any third-party website, product, or service that may be linked from the Site or referenced in our materials.

1.2. Who uses our products. The Software and Site are intended for professional users — certified public accountants, enrolled agents, tax preparers, financial advisors, and similar professionals and their firms — who are at least 18 years of age. The products are not directed to children, and we do not knowingly collect personal information from anyone under 18. See Section 8 (Children).

1.3. Not advice. The Software is a planning tool. Nothing in the Software, the Site, or this Policy constitutes tax, legal, financial, accounting, or investment advice. Your professional judgment governs how you use any output of the Calculator with your own clients.


2. The Software: Offline by Design

This Section describes how the Software handles information. It is the heart of this Policy.

2.1. The Software runs 100% in your browser, offline

The Calculator is delivered as a single, self-contained file that you run locally in your own web browser. It requires no account, no login, no password, no subscription, and no internet connection to function. There is no Nalepa Labs server behind it, and there is no cloud component. Once you have the file, the Software operates independently of us.

2.2. We never receive the information you process

When you use the Software's signature feature — dragging and dropping a client's prior-year IRS Form 1040 PDF onto the Calculator — that PDF is parsed entirely within your browser, on your own device. The document is never uploaded, transmitted, sent, or copied to Nalepa Labs or to any third party. The Software makes zero network calls in the course of its operation.

As a result:

  • We do not receive, see, store, or have access to any Form 1040, any figures derived from it, any client identity, or any other information you enter into or process with the Software.
  • We maintain no server-side copy, no cloud copy, and no account record of anything the Software touches.
  • Because the data never leaves your device through the Software, there is nothing for us to sell, share, mine, or disclose. We cannot disclose what we never receive.

2.3. No SSN or EIN is captured

The Calculator's extraction is architected to read only money-pattern figures (dollar-amount lines) from the Form 1040. By design, it does not extract Social Security Numbers (SSNs) or Employer Identification Numbers (EINs) — those identifiers are not among the values the Software reads or works with. This is a function of what the extraction logic is built to capture, not of any after-the-fact removal step.

2.4. Data the Software keeps stays on your device

Any data the Software keeps — such as your license-acceptance record (a local record that you agreed to the applicable license/end-user terms) and your working inputsstays local on your own device and is never transmitted to us. The license-acceptance record is also stamped into the footer of each report the Software generates, so that generated reports carry evidence of license acceptance. In every case, whatever the Software persists remains on your device under your control; none of it is sent to Nalepa Labs.

2.5. Your responsibilities as a professional user

Because the Software runs on your device, you control the device, the browser, the input documents, and any reports you generate or save. You are responsible for safeguarding your clients' information in accordance with your own professional, legal, and regulatory obligations (including, where applicable, IRS safeguarding requirements for tax professionals). Saved reports, downloaded files, and any printouts are within your custody and control, not ours.


3. The Site: What We Collect and Why

This Section applies only to the marketing website at nalepalabs-tools.com, which is separate from the offline Software. The Site is a static website used to describe and sell the Calculator.

3.1. Information you provide voluntarily

We collect personal information through the Site only when you choose to give it to us, such as when you:

  • email or otherwise contact the company (for example, at info@nalepalabs.com);
  • request the sample report;
  • submit feedback, a question, or a support request; or
  • otherwise voluntarily provide your information through a form or message.

The information collected in these situations is limited to what you choose to provide — typically your name, email address, and the contents of your message (and, if you call us, your phone number and the substance of the call).

3.2. Why we use it

We use the limited personal information you provide through the Site to:

  • respond to your inquiry, request, or feedback;
  • send you the sample report or other materials you request;
  • provide customer and product support; and
  • maintain records of our communications and comply with our legal obligations.

3.3. Cookies and similar technologies

The Site uses cookies and similar technologies and presents a cookie-consent banner so you can manage your preferences. Details about the categories of cookies used by the Site, and how to control them, are described in our Cookie Policy. Cookie and analytics technologies apply only to the Site — they are not part of the offline Software, which makes no network calls and uses no analytics.

3.4. We do not sell your personal information

We do not sell your personal information, and we do not "share" it for cross-context behavioral advertising as those terms are defined under applicable U.S. state privacy laws. See Section 9 for the rights available to California and other state residents, including the right to direct us not to sell or share.


4. How We Disclose Information (Site Only)

4.1. We do not disclose the limited personal information collected through the Site except as described below:

  • Service providers / processors. We use a small number of third-party vendors to operate the Site, such as a website hosting provider and a consent-management / cookie-banner provider. These vendors process information on our behalf and under contract, and are not permitted to use it for their own purposes. Where you contact us by email, the corresponding email service provider processes the message.
  • Legal and protective disclosures. We may disclose information if required by law, subpoena, or legal process, or where we believe in good faith that disclosure is necessary to protect our rights, enforce our terms, prevent fraud or abuse, or protect the safety of any person.
  • Business transfers. If Nalepa Labs is involved in a merger, acquisition, financing, or sale of assets, information collected through the Site may be transferred as part of that transaction, subject to this Policy.

4.2. For the avoidance of doubt, the disclosures in this Section concern only information collected through the Site. They do not and cannot apply to data processed by the offline Software, because we never receive that data (see Section 2).


5. Third-Party Processors

The Site relies on a limited set of third-party processors, which may include:

  • a website hosting / static-site provider that serves the Site;
  • a consent-management platform that powers the cookie-consent banner; and
  • an email service that delivers and stores messages you send to us.

These processors are engaged to perform services on our behalf and are bound by their obligations to handle information appropriately. Each maintains its own privacy practices for the data it processes as a controller. The offline Software does not use any of these processors and makes no third-party calls.


6. Data Retention

6.1. Software. Because the Software is offline and we receive no data from it, we have no Software-related data to retain. The only persisted item — your local license-acceptance record — resides on your own device and is retained or removed by you (for example, by clearing your browser storage or removing the file).

6.2. Site. We retain the limited personal information collected through the Site only as long as reasonably necessary for the purposes described in Section 3 — for example, to respond to and follow up on your inquiry, to provide requested materials and support, to keep records of our communications, and to comply with legal obligations. When information is no longer needed for these purposes, we delete it or de-identify it. Cookie data is retained per the durations described in the Cookie Policy.


7. Security

7.1. Software. The Software's offline, no-upload, no-server design is itself a strong privacy and security measure: data processed by the Calculator stays on your device and is never exposed to us or to a network through the Software. Securing your device, browser, and any saved reports is your responsibility as a professional user.

7.2. Site. We maintain reasonable administrative, technical, and organizational measures designed to protect the limited personal information collected through the Site against unauthorized access, use, alteration, or disclosure. However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security of information transmitted to or through the Site.


8. Children

The Software and the Site are intended for professional, adult users who are at least 18 years old. We do not knowingly collect personal information from children under 18. If you believe a child has provided us personal information through the Site, please contact us at info@nalepalabs.com and we will take appropriate steps to delete it.


9. Your Privacy Rights (Including California / CPRA)

9.1. Rights that may be available to you. Depending on where you live, you may have certain rights regarding personal information that we collect through the Site, which may include the rights to:

  • know / access the categories and specific pieces of personal information we have collected about you;
  • correct inaccurate personal information;
  • delete personal information we have collected from you;
  • data portability — receive a copy of certain information in a portable format;
  • opt out of the sale or sharing of personal information; and
  • limit the use and disclosure of sensitive personal information.

9.2. California residents (CPRA). California residents have the rights described above under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (CPRA). In particular:

  • Do Not Sell or Share My Personal Information. We do not sell your personal information and do not share it for cross-context behavioral advertising. The Site is designed to honor opt-out preference signals (including, where required by applicable law, the Global Privacy Control) and the cookie-consent controls described in our Cookie Policy.
  • Limit the Use of My Sensitive Personal Information. We do not use or disclose sensitive personal information for purposes that would trigger a "limit" right; to the extent any such right applies, the Site honors requests to limit the use of sensitive personal information.
  • Non-discrimination. We will not discriminate against you for exercising any of your privacy rights.

9.3. Important limitation. These rights apply only to personal information we actually hold — that is, the limited information collected through the Site. They do not extend to data processed by the offline Software, because that data never reaches us; we hold no copy of it and cannot access, produce, correct, or delete it on your behalf. To manage information processed by the Software, use the controls on your own device.

9.4. How to Exercise Your Rights

We may need to verify your identity before responding, and we will respond within the timeframes required by applicable law. You may use an authorized agent to submit a request where permitted by law, subject to verification.


10. Changes to This Policy

We may update this Privacy Policy from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be reflected on this page, and your continued use of the Site after an update constitutes acknowledgment of the revised Policy to the extent permitted by law.

Because the Software is offline, it cannot notify you of changes or detect your continued use, so website-posted revisions do not operate as notice or acceptance for the Software. Instead, changes to the terms governing the Software are handled through the Software's in-product, version-keyed End-User License Agreement (EULA) re-prompt: when the applicable terms change, the Software presents the updated terms for your acceptance before continued use.


11. Governing Law

This Privacy Policy and any dispute arising out of or relating to it are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any action relating to this Policy shall be brought exclusively in the state or federal courts located in Florida, and you consent to the jurisdiction and venue of those courts.
